IN ANY EVENT, PIZZA RANCH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA RANCH IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PIZZA RANCH AND YOU. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Pizza Ranch, its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

IF THE DISPUTE CANNOT BE RESOLVED INFORMALLY, YOU AND PIZZA RANCH AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF THE SERVICES, SHALL BE RESOLVED SOLELY BY BINDING INDIVIDUAL ARBITRATION, EXCEPT AS SET FORTH BELOW.

The arbitration shall be conducted by a nationally recognized arbitration organization, such as the American Arbitration Association (AAA), under its applicable rules, including the Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding, subject only to limited review under the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).

The arbitrator shall have the authority to award any remedy available in an individual lawsuit, but shall not have authority to award relief to, against, or for the benefit of any person not a party to the arbitration.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PIZZA RANCH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or imminent infringement of intellectual property rights, unauthorized use of confidential information, or other irreparable harm. Additionally, small claims court actions may be brought in lieu of arbitration, provided the dispute qualifies under applicable small claims court rules.
